Terms and Conditions for Master Data by Mint

1. Introduction

Welcome to Master Data By Mint (hereinafter referred to as the “App”). These Terms and Conditions (T&Cs) constitute a legally binding agreement between you (the user) and us (Mint, or otherwise, the company) and shall govern your acquisition and use of the App. The “Effective Date” of these T&Cs is the date of your initial access to or use of the App.

By accessing, downloading, installing, copying, clicking an “accept” button, or otherwise using this App, you agree to these T&Cs.

If you are accepting these terms on behalf of an organization, such as your employer, you confirm that you have the authority to bind that organization to these terms. If you do not agree to these terms, do not access, download, install, copy, click an “accept” button, or use the app.

2. Description of the App 

The App allows users to collect all their tasks across different boards on monday.com into one master board, providing complete visibility and control over their data within a centralized hub. The integration reduces the manual work involved in copy-pasting data between different boards and eliminates human errors.

3. Registration 

You will need to register an account under monday.com in order to access, receive, and use the App. By providing your registration information, you undertake to provide us or monday.com with accurate, up-to-date, and complete details. You are also required to keep your information updated so we can send you notices, statements, and other communications via email or through your account. You are solely responsible for all activities that occur under your accounts.

4. Subscription, Grant of Access, and Authorized Users

  1. Subscription Details: Your Subscription Form will specify how you can use the App during the Term. It may also include terms for renewing the app or upgrading your usage. You can add more Authorized Users by submitting a new Subscription Form or, in some cases, directly through the app.
  2. Grant of Access: Access to the App will be granted once we receive payment. You must check your account to confirm that payment was received and your Subscription Form processed. All deliveries will be electronic. You are responsible for installing the app, and we have no further delivery obligations after providing the license keys.
  3. Authorized Users: Only Authorized Users may use the app. An “Authorized User” refers to an individual you have designated to access and use the app in line with the Scope of Use and for whom you have paid the necessary fees. Authorized Users also include any and all other users whom you give access to and allow to use the app. You acknowledge that you will maintain full responsibility for their use and for ensuring they comply with these T&Cs, including how they handle your data. All app usage must benefit you and stay within the Scope of Use.

5. Scope of Use 

Scope of Use means your authorized scope of use or authorized scope of access to the App, which may include: access to the App, use of the App’s features, and the use of the App in relation to its platform, monday.com.

6. User Responsibilities 

You are responsible for any and all data you enter into the App. You agree to use the App in compliance with all applicable laws and regulations, including these T&Cs, and maintain the security of your account at all times.

7. App Limitations and Liability 

The App has stable and robust performance with up to 20,000 items and no more than 50 columns per board involved in the integration process. Exceeding these limits may degrade the App’s performance or cause integration failures. 

To the fullest extent permitted by applicable law, Mint will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App, or (b) any unauthorized access to or use of our servers and/or any personal information stored therein.

8. Intellectual Property 

All content, trademarks, service marks, trade names, logos, and icons are proprietary to Mint or its licensors. You may not use any of these materials without the prior written permission of Mint. You agree that you will not, nor allow another third party to:

  1. Decompile, reverse engineer, disassemble, modify, adapt, create derivative works from, or attempt to derive any part or whole of the App except to the extent expressly permitted by law and only with prior written notice to Mint;
  2. Share data obtained through the App with unauthorized users;
  3. Sell, sublicense, redistribute, reproduce, transmit, circulate, disseminate, or translate to or from any electronic medium the App;
  4. Publicly reference Mint’s name or trademarks or engage in activities that may harm Mint’s reputation;
  5. Rent, share, or distribute the products without a separate agreement;
  6. Use the products for competitive analysis; and
  7. Copy or embed elements of the software into other software.

9. Privacy 

We collect various types of information to provide and improve the functionality of Master Data By Mint. This includes personal information such as your name, email address, and account details; usage data regarding the features you access and the actions you take within the app; and device information like your IP address, browser type, and operating system.

We use this information to ensure the app operates effectively, to communicate important updates to you, to maintain data security, to analyze usage patterns for enhancing the user experience, and to comply with legal obligations. While we do not sell your personal information, we may share it with service providers who assist in operating the app, legal authorities when required, and in the event of a business transfer such as a merger or acquisition.

We take appropriate measures to protect your personal information up to the extent required by law, though no method of transmission or storage is completely secure. You have rights regarding your personal information, including accessing, correcting, deleting it (subject to legal restrictions), objecting to its processing, and withdrawing your consent to its use. By using the App, you acknowledge and agree to our collection, use, and sharing of your information as described.

10. Data Handling, Hosting on Amazon Web Services (AWS).

You acknowledge that while monday.com handles the data, the logic and code that manage this process are hosted on AWS. You acknowledge that your monday.com instances will send data to our AWS servers, where it will be processed and then the updated payload will be sent back to your monday.com account. By using the App, you consent to this transfer, storage, and processing of data on AWS servers. 

You acknowledge that you are aware that App is hosted by AWS and we retain no liability or warranty in relation thereto, including regarding accessibility or uninterrupted service. The App is hosted by AWS and is subject to their specific terms of use detailed in https://aws.amazon.com/service-terms/ and we shall have no liability whatsoever with regards to these matters, including in case of lost data, inability to access or un-operation. Agreement to these T&Cs include agreement to those specific Third Party Terms, including the AWS terms and you agree to act according to all such terms, in addition to these T&Cs. 

11. Termination 

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease.

12. Modifications to the Terms 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law 

These Terms shall be governed and construed in accordance with the laws of the jurisdiction of New South Wales, Australia.
